• Online retailers with a dedicated website owned and operated by the retailer

• Selling Lucas & Friends products on third-party marketplaces (e.g., Amazon, eBay, Walmart Marketplace, Etsy, Facebook Marketplace, Alibaba, etc.) is strictly prohibited.

• Products may only be sold through your own company-owned website and physical store locations.

• Violation of this policy will result in immediate termination of wholesale privileges, cancellation of pending orders, and refusal of future wholesale orders.

• Wholesale pricing is available only to approved retailers.

• Prices are listed in U.S. dollars (USD).

• Prices are subject to change at any time. However, prices confirmed at the time of your order will be honored for that order.

• Lucas & Friends reserves the right to run special promotions or adjust MRPs seasonally, with or without prior notice.

• All orders must be prepaid in full before shipping.

• We accept major credit cards, PayPal, and bank transfers (for large orders).

• Orders will not be processed or shipped until payment is completed.

• Credit card purchases $1000 and over will be charged a 3% credit card convenience fee. Unpaid balances are subject to a 1.5% late fee per month.

• All shipping costs are the responsibility of the buyer.

• Shipping charges will be invoiced separately unless otherwise agreed upon.

• We typically ship wholesale orders within 5-7 business days after payment is received.

• Larger orders, backorders, or custom orders may require longer processing times, which will be communicated at the time of order confirmation.

• Lucas & Friends is not responsible for shipping delays caused by carriers, customs processing, strikes, natural disasters, or other factors beyond our control.

• Shipping methods and carriers are selected at our discretion unless otherwise agreed upon in writing.

• All wholesale sales are final.

• We do not accept returns or exchanges for reasons other than manufacturing defects or shipping damages.

• Claims for damages, shortages, or wrong items must be reported within 5 business days of receipt.

• Please inspect all shipments immediately upon arrival.

If you receive damaged merchandise, please save all packaging materials and email us at orders@lucasandfriends.com with photos and a description of the issue.

• Orders may be canceled or changed only before the order has been packed or shipped.

• Once an order has been packed for shipment, it cannot be canceled or altered.

• Cancellations may be subject to a restocking fee of up to 15%.

• Retailers must clearly identify Lucas & Friends as the brand when listing products for sale (both online and in-store).

• Product names, images, and descriptions must not be altered without prior written permission.

• All product packaging, tags, and labels must remain intact and may not be removed or altered prior to resale.

• Retailers must sell our products at or above the Minimum Retail Price (MRP) listed.

• You may offer discounts only during official store-wide sales or promotions.

• Selling below MRP without written permission may result in suspension or termination of your wholesale privileges.

• We monitor pricing regularly to protect our brand and retail partners.

• All product designs, branding, trademarks, logos, images, and marketing materials are the exclusive intellectual property of Lucas & Friends.

• Unauthorized use, reproduction, or modification of our intellectual property is strictly prohibited and may result in legal action.

• All wholesale customers are responsible for any applicable taxes, import duties, or customs fees related to their order.

• Lucas & Friends is not liable for any loss, theft, or damage once the shipment has left our warehouse.

• Lucas & Friends reserves the right to refuse service to any customer, for any reason, at any time, and may terminate wholesale accounts that violate our policies without prior notice.

• We reserve the right to modify or discontinue these wholesale terms and conditions at any time without liability.
